Seeking experienced software licensing/SaaS attorney to join dynamic, collaborative, team-focused in-house legal function. The Corporate Counsel will support the Company's growing global sales operations with primary responsibility to negotiate SaaS subscription services agreements for the Company's software-as-a-service business, as well as commercial software licenses for the Company's HR software that is licensed on a perpetual and hosted basis. This position will involve reviewing and negotiating software license and SaaS subscription agreements, professional services agreements, statements of work, RFPs and amendments/renewals. The Corporate Counsel will regularly interact with internal business partners in all departments, including executives, sales, support, security, finance, HR and other groups, will have significant ownership and responsibility for their assigned areas, and will benefit from a strong culture of collaboration, professional development and support. The Corporate Counsel may work on vendor agreements, NDAs, company policies, forms and procedures and other areas. This attorney will play an integral role in an exciting growth environment, will be a valued team member and will be called on to contribute to an ongoing initiative to maximize the group's efficiency.
Respnsibilities:
. Drafting software license, SaaS subscription and services agreements for customers and prospects.
. Responding to various commercial contract inquiries to support the Sales team and other Company initiatives.
. Understanding of revenue-driven priorities and flexibility in schedule for quarter-end close and other key processing occasions.
. Ability to multi-task, delegate and deliver key projects; while managing a high volume of assignments with varying priorities in a fast-paced environment.
. Strong business orientation, including understanding accounting and financial concepts.
. Excellent written and verbal communication skills. Effectively communicate complex ideas or legal concepts in an easy to understand manner through all levels and functions within the Company.

. Ability to escalate critical issues to senior management.
. Ability to read and understand complex contracts and other legal documents.
. Ability to quickly learn a new area of the law with minimal instruction.
Job Requirements
. Juris Doctorate Degree from an American Bar Association accredited law school.
. Ideal candidate will have between 3-8 years' of licensing experience.
. Meaningful and substantive experience drafting, negotiating and analyzing complex software agreements (license and/or SaaS) is required for this position.
. Prior in-house legal experience at a technology company strongly preferred.
. International experience preferred.
. Ideal candidate will be a member of the Massachusetts bar.
. Excellent knowledge of laws and regulations (including privacy laws and security concerns) applicable to corporations in general and software companies in specific.
. Detail oriented.
. Excellent time management, communications, decision-making, presentation, human relations and organizational skills.
. Position is based in our Waltham, MA Headquarters location (conveniently located off of Route 128).
. May include limited travel.
